1. Acceptance of Terms

By accessing and using the software, websites, and applications provided by 20Bit ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use our services.

2. Eligibility

You must be at least 18 years of age to use our specialized business software, including Clinic Management and Hospital Management systems. By agreeing to these Terms, you represent and warrant that you are legally capable of entering into a binding contract and are not barred from receiving services under the laws of applicable jurisdictions.

3. User Accounts

To access certain features of our SaaS solutions, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security and confidentiality of your login credentials.
• Accept full responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or security breaches.

4. Acceptable Use & Responsibilities

You agree not to use the Services in any way that violates applicable federal, state, local, or international laws or regulations. Specifically, you agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of our software.
• Use the services to transmit any malicious software, viruses, or harmful code.
• Attempt to gain unauthorized access to, interfere with, or disrupt any part of the Services or servers.
• Use the Services to infringe upon the intellectual property or privacy rights of others.
• Resell or lease our SaaS software to third parties without an explicit reseller agreement.

5. Medical Disclaimer

The software, including the Clinic Management System and medical mobile applications, is designed to assist healthcare professionals in managing their practices. It is NOT intended to provide medical advice, diagnosis, or treatment. Healthcare providers retain full professional responsibility for all clinical decisions and patient care. 20Bit accepts no liability for medical outcomes resulting from the use or misuse of the software.

6. Intellectual Property

All rights, title, and interest in and to the Services (including but not limited to software code, UI/UX design, algorithms, text, graphics, and logos) are and will remain the exclusive property of 20Bit and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of 20Bit.

7. Software License

Subject to your compliance with these Terms, 20Bit grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the SaaS services during the subscription term for your internal business purposes only. This license does not grant any rights to the underlying source code.

8. Payments, Subscriptions & Refunds

Certain features of our Services require payment. By selecting a premium tier or purchasing custom development services:

• You agree to pay all applicable fees associated with your chosen plan or contract.
• SaaS subscriptions are billed in advance on a recurring basis (monthly or annually).
• Except as required by law, paid subscription fees are non-refundable.
• We reserve the right to change our prices at any time. Notice will be provided before price changes affect your current subscription.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall 20Bit, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content.

10. Indemnification

You agree to defend, indemnify, and hold harmless 20Bit and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password, or b) a breach of these Terms.

11. Suspension & Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of our operating jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
